Affiliate Program Terms & Conditions

The demeterrr Affiliate Program ("Program") is operated by demeterrr Inc. ("Company," "we," "us"). These Affiliate Program Terms and Conditions ("Affiliate Terms") constitute a binding agreement between you ("Affiliate," "you") and the Company.

By enrolling in the Program, you agree to be bound by these Affiliate Terms, our general Terms of Service, and our Privacy Policy. In the event of a conflict between these Affiliate Terms and the Terms of Service, the Affiliate Terms shall prevail with respect to your participation in the Program.

The Program allows you to earn commissions by referring new paying customers to the demeterrr platform. A "Qualified Referral" is a new customer who (a) signs up through your unique referral link, (b) creates a paid subscription, and (c) is not an existing or previously churned demeterrr customer.

To participate in the Program, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction.
• Provide accurate and complete registration information.
• Have a valid website, blog, social media presence, email list, or other legitimate promotional channel.
• Comply with all applicable laws and regulations, including but not limited to advertising disclosure requirements (e.g., FTC guidelines, Canadian Competition Act).
• Not be a current employee, contractor, or immediate family member of a Company employee.

We reserve the right to accept or reject any affiliate application at our sole discretion and to revoke acceptance at any time if we determine you no longer meet eligibility requirements.

Affiliate accounts are created instantly upon completing the signup form. However, we reserve the right to suspend or terminate accounts at any time if we detect fraudulent activity, policy violations, or misrepresentation of information provided during enrollment.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

Upon enrollment, you will receive a unique referral link and referral code. You must use these to refer customers so that referrals are properly tracked and attributed to your account.

Our tracking system uses a 90-day cookie window. If a visitor clicks your referral link and signs up for a paid plan within 90 days, the referral is attributed to you. If multiple affiliates refer the same customer, the last-click attribution model applies.

We are not responsible for tracking failures caused by the user's browser settings, ad blockers, cookie restrictions, VPNs, or other technical factors outside our control. You acknowledge that no tracking system is 100% accurate.

Commission Rate: 35% of each payment made by your Qualified Referrals.

Commission Duration: Up to 12 months per Qualified Referral, beginning from the date of their first paid subscription payment. If the referred customer churns before 12 months, commissions for that referral cease.

Annual Subscriptions: If a referred customer purchases an annual plan (which includes one month free), the affiliate receives 11 months of commission, paid as a lump sum in the month following the annual payment.

Payment Schedule: Commissions are paid monthly on the 15th of each month for the previous calendar month's eligible commissions. Commissions have a 30-day holding period before becoming eligible for payout.

Minimum Payout: $50 CAD. If your balance is below the minimum threshold, it rolls over to the next payment cycle.

Payment Methods: PayPal or bank transfer (EFT/wire). You are responsible for providing accurate payment details and for any fees charged by your payment provider.

Currency: All commissions are calculated and paid in Canadian Dollars (CAD).

Taxes: You are solely responsible for reporting and paying all applicable taxes on commissions earned. We may require tax documentation (e.g., W-8BEN for non-Canadian affiliates) before processing payouts.

Refunds & Chargebacks: If a referred customer receives a refund, initiates a chargeback, or reverses payment, the corresponding commission will be deducted from your balance or future earnings.

As an Affiliate, you must NOT:

• Bid on demeterrr branded keywords (including "demeterrr," "demetrrr," or misspellings) in paid search advertising (Google Ads, Bing Ads, etc.).
• Use cookie stuffing, forced clicks, pop-unders, misleading redirects, or any form of artificial traffic generation.
• Create fake accounts, self-refer, or refer your own business entities to earn commissions.
• Make false, misleading, or unsubstantiated claims about demeterrr, its features, pricing, or capabilities.
• Send unsolicited bulk email (spam) or use any promotional method that violates Canada's Anti-Spam Legislation (CASL) or similar laws.
• Impersonate demeterrr or suggest you are an employee, agent, or official representative of the Company.
• Use demeterrr trademarks in domain names, social media handles, or business names without prior written consent.
• Promote demeterrr on websites or channels containing illegal, hateful, violent, sexually explicit, or discriminatory content.
• Engage in any activity intended to manipulate or circumvent the tracking or commission system.
• Offer incentives, cashback, or rebates to referred customers funded by your commission without prior written approval.

Violation of any prohibited activity may result in immediate termination of your affiliate account, forfeiture of all unpaid commissions, and reversal of commissions paid in connection with the violating activity.

We grant you a limited, non-exclusive, non-transferable, revocable license to use demeterrr marketing materials, logos, and brand assets solely for the purpose of promoting demeterrr within the Program. This license terminates immediately upon termination of your affiliate account.

You may not modify, alter, or create derivative works from our brand assets without prior written consent. All trademarks, service marks, logos, and intellectual property of demeterrr remain the exclusive property of the Company.

Any marketing content you create that references demeterrr must be truthful, not misleading, and comply with applicable advertising regulations. You must include appropriate affiliate disclosures (e.g., "This post contains affiliate links") as required by law.

You agree to keep confidential any non-public information disclosed to you in connection with the Program, including but not limited to commission rates, conversion data, internal policies, and business strategies. This obligation survives the termination of your participation in the Program.

You may disclose your own commission earnings and rates in public content (e.g., "I earn 35% recurring commissions") for promotional purposes, provided such statements are accurate and not misleading.

By You: You may terminate your participation at any time by contacting us at affiliates@demeterrr.app. Eligible unpaid commissions will be paid in the next scheduled payout cycle, subject to the minimum payout threshold.

By Us: We may terminate your participation at any time, with or without cause, by providing written notice to your registered email address. In the event of termination for cause (e.g., fraud, policy violation), all unpaid commissions may be forfeited.

Effect of Termination: Upon termination, you must immediately cease all use of demeterrr marketing materials, remove referral links from your properties, and stop representing yourself as a demeterrr affiliate. Commissions will not be paid on referrals that convert after your termination date.

THE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE ANY LEVEL OF INCOME, CONVERSIONS, OR REFERRAL SUCCESS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PROGRAM SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

We reserve the right to modify these Affiliate Terms, commission rates, cookie durations, payout thresholds, or any other aspect of the Program at any time. Material changes will be communicated via email to your registered address at least 14 days before they take effect.

Your continued participation in the Program after changes take effect constitutes acceptance of the modified terms. If you do not agree with any modifications, your sole remedy is to terminate your participation.

Governing Law: These Affiliate Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from or related to these Affiliate Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Sherbrooke, Quebec, Canada.

Relationship: You are an independent contractor. Nothing in these Affiliate Terms creates a partnership, joint venture, employment, or agency relationship between you and the Company. You have no authority to bind the Company in any way.

Assignment: You may not assign or transfer your rights or obligations under these Affiliate Terms without our prior written consent. We may assign our rights and obligations without restriction.

Entire Agreement: These Affiliate Terms, together with the Terms of Service and Privacy Policy, constitute the entire agreement between you and the Company with respect to the Program and supersede all prior or contemporaneous agreements.

Severability: If any provision of these Affiliate Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
