Service Agreement
These Terms & Conditions govern your use of the demeterrr platform. By registering or using our Services, you agree to these terms.

Agreement to Terms
This Agreement becomes binding upon account registration or use of our Services. If you do not agree to these terms, you may not use demeterrr.
Definitions
Our Services
demeterrr provides a customer experience management platform that enables businesses to:
- Create and distribute customer surveys and feedback forms
- Collect, analyze, and respond to customer feedback
- Manage online reviews and reputation monitoring
- Automate multi-channel communication workflows
- Generate reports and analytics on customer experience metrics
- Integrate with third-party tools and services
We commit to providing Services in accordance with this Agreement and maintaining reasonable uptime and performance standards.
Service Modifications: We reserve the right to modify, update, or discontinue features with reasonable notice to users.
Pricing & Payments
Subscription Fees
Pricing is based on your selected plan tier (Free, Starter, Pro, or Business) as displayed on our website. Fees are billed monthly or annually based on your chosen billing cycle.
Payment Terms
- Payments are due immediately upon subscription renewal
- All fees are non-refundable except as required by law
- Late payments may incur a fee of 1.5% per month (18% annually)
- Payment processing is handled securely through Stripe
Price Changes
We may modify pricing with 60 days' notice before your next renewal date. Continuing to use Services after the notice period constitutes acceptance of the new pricing.
Usage Overages: SMS credits and other usage-based features may incur additional charges beyond your plan limits.
User Obligations
Account Security
- Maintain confidentiality of your login credentials
- Notify us immediately of unauthorized account access
- You are responsible for all activities under your account
Acceptable Use
You agree not to:
- Violate any laws or regulations in your use of Services
- Send spam, unsolicited communications, or violate anti-spam laws
- Upload malicious code, viruses, or harmful content
- Attempt to reverse engineer or compromise platform security
- Use Services to harass, abuse, or harm others
- Resell or redistribute Services without authorization
Data Compliance
You are responsible for ensuring your use of Services complies with applicable privacy laws (GDPR, CASL, etc.) and that you have proper consent to contact individuals in your database.
Duration & Termination
Subscription Term
Subscriptions run on monthly or annual terms based on your selection. Your subscription automatically renews unless canceled before the renewal date.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
- No refunds for partial billing periods
- Access continues until period end
- Data export available for 30 days post-cancellation
Termination for Breach
We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay fees when due.
Data Retention: We retain your data for 30 days after termination for recovery purposes, then permanently delete it unless legally required to retain.
Account Suspension
We reserve the right to immediately suspend access to your account without prior notice in the following circumstances:
- Non-payment of fees when due
- Violation of acceptable use policies
- Suspected fraudulent or illegal activity
- Security concerns or breach attempts
- Excessive resource usage affecting platform stability
- Court order or legal requirement
If your account is suspended, you will be notified via email with the reason and steps to resolve the issue. Access will be restored upon resolution.
Confidentiality
Both parties agree to maintain the confidentiality of non-public information disclosed during the term of this Agreement.
Confidential Information includes:
- Business strategies and financial information
- Customer data and proprietary methodologies
- Technical specifications and platform architecture
- Any information marked as confidential
Exceptions (information is not confidential if):
- Publicly available through no fault of recipient
- Rightfully known before disclosure
- Independently developed without reference to confidential information
- Required to be disclosed by law or court order
Intellectual Property
Platform Ownership
All intellectual property rights in the demeterrr platform, including software, design, trademarks, and documentation, remain the exclusive property of demeterrr Inc.
Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use the Services during your subscription term. This license does not permit:
- Copying or modifying platform code
- Creating derivative works
- Reverse engineering or decompilation
- Removing proprietary notices or branding
Your Content
You retain all rights to content you upload to the platform. You grant us a license to use, store, and process your content solely to provide Services.
Warranty
We warrant that Services will be provided in a professional manner consistent with industry standards. We strive to maintain reasonable uptime and performance but do not guarantee uninterrupted or error-free operation.
Services Provided "As Is"
Except as expressly stated, Services are provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Services will meet all your requirements or that results obtained will be accurate or reliable.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Exclusion of Indirect Damages
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if advised of such possibility.
Liability Cap
Our total liability for all claims arising from or related to the Services shall not exceed the amount you paid us in the 12 months preceding the claim.
Exceptions
These limitations do not apply to liability for death or personal injury caused by our negligence, fraud, or other matters where liability cannot be limited by law.
Indemnification
You agree to indemnify, defend, and hold harmless demeterrr Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of the Services
- Violation of these Terms or applicable laws
- Infringement of third-party rights
- Your content or customer data
- Negligence or willful misconduct
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
General Provisions
Governing Law
This Agreement is governed by the laws of Canada and the province where demeterrr Inc. is registered, without regard to conflict of law principles.
Dispute Resolution
Any disputes arising from this Agreement shall be resolved through good faith negotiation. If unresolved, disputes will be subject to the exclusive jurisdiction of courts in our registered location.
Amendments
We may modify these Terms at any time by posting updated terms on our website. Material changes will be notified via email. Continued use after changes constitutes acceptance.
Severability
If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and any referenced documents, constitute the entire agreement between you and demeterrr regarding the Services.
Assignment
You may not assign or transfer this Agreement without our written consent. We may assign this Agreement to any successor or acquirer.
